NDA ON DEMAND™ Terms

These terms govern your use of NDA ON DEMAND™ — SecureSign™, ProofVault™, and Vault NDA™. They apply in addition to our Terms of Service. By sending, signing, or storing a document through NDA ON DEMAND™, you and every signer agree to these terms.
1. What NDA ON DEMAND™ Is
NDA ON DEMAND™ is a self-service electronic-signature and evidence-vaulting product. It generates NDA documents from templates, captures signatures, mints a unique DLOCK Code™ per transaction, and stores the executed document plus its audit trail in ProofVault™. It is not legal representation, and we do not draft custom legal language for your specific situation.
2. E-Signature Validity
- By clicking to sign you (a) agree to transact electronically, (b) confirm your identity and the email/phone used to authenticate, and (c) intend your action to be your legal signature under ESIGN, UETA, eIDAS, and other applicable e-signature laws.
- You may withdraw e-signature consent before signing by closing the document. After signing, withdrawal does not invalidate prior executed signatures.
- Hardware requirements: a modern browser, the email/phone associated with the invite, and the ability to download or print the signed PDF.
3. Sender Responsibilities
- You confirm you have the legal right to send the document and to disclose the underlying information.
- You confirm the recipient information you provide is accurate and that you have a legitimate basis to request their signature.
- You are responsible for the substantive content of any document you send, including any clause selected from a template option.
4. Signer Rights
- You may review the document before signing and request a copy at any time afterward.
- You may decline to sign without penalty from DefamationLock®.
- You may request access to the audit trail tied to your DLOCK Code™.
5. DLOCK Code™ Minting
- Every transaction receives a unique DLOCK Code™ that fingerprints the document hash, signer events, timestamps, and IP/device metadata.
- The DLOCK Code™ is the canonical reference for verification. Anyone with the code can confirm the document existed in the vault at the stated time without exposing its contents.
- DLOCK Codes are immutable once minted. We do not modify or delete code records except as required by law.
6. ProofVault™ Storage & Retention
- Documents are stored encrypted at rest. Access is limited to the sender, named signers, and (with consent or lawful process) DLOCK personnel.
- Default retention follows your plan tier. You may purchase extended retention separately.
- On account closure, vault entries remain in read-only export mode for 30 days. After that, documents are scheduled for deletion subject to legal-hold requirements.
7. Fees
- Per-send fees, monthly send credits, vault storage tiers, and Trust Seal pricing are stated at checkout.
- Per-send fees are non-refundable once a document is sent. Unused subscription credits follow the Refund Policy.
- Vault retention beyond your plan term requires a paid retention add-on. Without it, scheduled deletion proceeds.
8. Prohibited Uses
- You may not use NDA ON DEMAND™ to silence reports of unlawful conduct, harassment, discrimination, public-safety risks, or protected whistleblowing.
- You may not send NDAs to minors, to people you have reason to believe cannot meaningfully consent, or in violation of any court order.
- You may not upload documents you do not have the right to send, store, or disclose.
- Misuse may result in vault revocation, account suspension, and reporting to authorities. See our Acceptable Use Policy.
9. No Legal Advice
Templates are provided for convenience. They are not tailored to your jurisdiction, industry, or facts. For high-stakes confidentiality matters, consult a licensed attorney through the Professional Services Network or your own counsel.
10. Disputes Between Sender and Signer
DefamationLock® is not a party to the NDA itself. Any dispute about the meaning, enforceability, or breach of an executed NDA is between the sender and signer. We may produce vault records and DLOCK Code™ data in response to lawful requests.
11. Changes
We may update these terms. Material changes are notified by email or in-app and take effect on the date posted.
