Terms of Service

1. Who We Are

DefamationLock® is a technology platform operated by DefamationLock, Inc. ('DLOCK', 'we', 'us', 'our'). We provide software, monitoring tools, AI agents, document workflows, and a directory connecting users ('Members') with independent professional service providers ('Providers'). DLOCK is not a law firm, does not provide legal representation, and does not provide legal, medical, financial, or investigative advice.

2. Eligibility & Accounts

• You must be 18 years or older and legally able to enter into a binding contract.
• You must provide accurate identity, contact, and billing information and keep it current.
• You are responsible for all activity under your account, including misuse of your DLOCK Code™.
• We may suspend or terminate accounts that violate these Terms, are used unlawfully, or that we reasonably believe pose a risk to the Platform or other users.

3. The Two Divisions

3.1 Reputation Protection Memberships

Membership plans are billed on a 6-month, recurring basis. Each plan includes specific monitoring, AI agent, and response services described at checkout. Limits, response times, and inclusions are part of these Terms by reference.

3.2 Professional Services Marketplace

The marketplace allows Members to request paid assessments and engagements from independent Providers, and allows Providers to purchase memberships and lead credits. DLOCK is a neutral platform; it does not employ Providers and does not guarantee any outcome from a Provider engagement.

4. NDA ON DEMAND™

NDA ON DEMAND™ (SecureSign™, ProofVault™, Vault NDA™) is an electronic-signature and evidence-vaulting service. Every transaction is associated with a unique DLOCK Code™ and stored in the vault for the retention period of your plan. You represent that you have the legal right to send, receive, and store the documents you transact and that all signers have provided required consent under applicable e-signature laws (including ESIGN and UETA in the U.S., and eIDAS where applicable).

5. Fees, Billing & Auto-Renewal

• Membership fees, assessment fees, lead credits, NDA send fees, and Trust Seal fees are stated at the point of purchase.
• Memberships and Provider subscriptions renew automatically at the end of each term unless cancelled per the Cancellation Policy.
• Refunds are governed by our Refund Policy.
• You authorize us (and our payment processors) to charge your payment method for all applicable fees and taxes.

6. Acceptable Use

Your use of the Services must comply with our Acceptable Use Policy. You may not use the Platform to harass, defame, defraud, or unlawfully retaliate against any person, or to circumvent legal process.

7. AI Agent & Voice Features

Our AI Agent provides general information and helps you navigate the Platform. It is not a substitute for advice from a licensed attorney or other professional. Conversations may be recorded, transcribed, and processed by third-party AI providers for the purpose of delivering and improving the Service.

8. Intellectual Property

DefamationLock®, DLOCK Code™, NDA ON DEMAND™, SecureSign™, ProofVault™, and Vault NDA™ are trademarks of DLOCK. The Platform, including software, designs, and content, is owned by DLOCK or its licensors and protected by intellectual-property laws. You retain ownership of the content and documents you submit but grant DLOCK a limited license to host, process, transmit, and display them solely to provide the Services.

9. Disclaimers

The Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not guarantee removal of any specific content, ranking changes, prevention of harm, or any legal outcome. See our Legal Disclaimer.

10. Limitation of Liability

To the maximum extent permitted by law, DLOCK and its affiliates, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or any loss of profits, revenue, data, or goodwill. Our total liability arising out of or relating to the Services will not exceed the greater of (a) the amounts you paid us in the 6 months preceding the claim, or (b) USD $100.

11. Indemnification

You will indemnify and hold harmless DLOCK from any claims, damages, and expenses (including reasonable attorneys' fees) arising from your use of the Services, your content, your violation of these Terms, or your violation of any law or third-party right.

12. Termination

You may stop using the Services at any time. We may suspend or terminate your access for any breach of these Terms or to comply with law. Sections that by their nature should survive (IP, disclaimers, liability, indemnification, dispute resolution) will survive termination.

13. Dispute Resolution & Governing Law

These Terms are governed by the laws of the State of Delaware, USA, excluding its conflict-of-laws rules. Any dispute will be resolved by binding arbitration on an individual basis under the rules of the American Arbitration Association, except that either party may seek injunctive relief in court for misuse of intellectual property or confidential information. You waive any right to participate in a class action.

14. Changes

We may update these Terms. Material changes will be notified by email or in-app notice and become effective on the date posted. Continued use of the Services after changes constitutes acceptance.
